These terms govern the ARCHITECT™ AI Governance Assessment for Community Banks purchased through walshsra.com. By ticking the acceptance box at checkout, or by signing an order form that references these terms, the Client agrees to them.
1.1 These Terms of Engagement (the "Terms") are between Walsh Sustainability Risk Advisory LLC, a Florida limited liability company ("Walsh SRA", "we", "us"), and the financial institution identified at checkout (the "Client", "you").
1.2 The person completing the purchase confirms they are authorized to accept these Terms on the Client's behalf.
1.3 These Terms cover one ARCHITECT™ AI Governance Assessment for Community Banks (the "Assessment"), an expert-led AI governance diagnostic for a single institution. Any further work, including an advisory retainer, is governed by a separate written agreement.
2.1 The Assessment includes:
2.2 The Client should complete the questionnaire and hold the results review within 90 days of purchase. After that, Walsh SRA may treat the Assessment as delivered, although we will make reasonable efforts to accommodate a delay agreed in writing.
2.3 The rating is generated from the Client's own answers. Walsh SRA does not independently verify those answers unless separately agreed.
3.1 The fee for the Assessment is $9,500 (US dollars), payable in full at purchase by card through our payment processor, or by invoice where agreed in advance. Invoices are payable within 30 days.
3.2 The fee is exclusive of any applicable taxes, which the Client will pay where required by law.
3.3 Retainer credit. Your $9,500 fee is credited in full against an advisory retainer signed within 60 days. The 60 days run from the date of purchase. The credit is applied against the first fees payable under the retainer, has no cash value, cannot be transferred to another institution, and is not refundable if no retainer is signed.
The Client will:
5.1 The Assessment is a governance advisory diagnostic. It is not legal advice, regulatory compliance certification, an audit, an attestation, or a supervisory examination, and it does not create an attorney-client or auditor relationship.
5.2 Walsh SRA does not guarantee any examination rating, regulatory outcome, valuation or transaction result. Supervisory expectations vary by regulator and change over time; the Assessment reflects our professional judgment as of the date it is delivered.
5.3 The Client should consult its own legal counsel, auditors and regulators on matters requiring their advice.
6.1 Walsh SRA will keep the Client's questionnaire answers, results and Recommended Next Steps confidential and use them only to deliver the Assessment and any follow-on work the Client engages us for. We will not disclose them to third parties except with the Client's consent or where required by law or regulation.
6.2 We use third-party service providers to run the Assessment, currently Typeform (questionnaire), GoHighLevel (client records and email), Stripe (payments) and Calendly (scheduling). Their handling of data is governed by their own terms and security practices.
6.3 We retain Assessment records for three years, then delete them, unless the Client asks for earlier deletion in writing or a longer period is required by law.
6.4 Walsh SRA may use questionnaire results in anonymized, aggregated form, never identifying the Client, to develop benchmarks and improve the ARCHITECT™ methodology.
7.1 The ARCHITECT™ Governance System, the questionnaire, scoring method and all related materials remain the property of Walsh SRA. The Client may not copy, adapt or redistribute the questionnaire.
7.2 The Client may use its results and Recommended Next Steps for its internal purposes, and may share them with its board, auditors, regulators, legal advisers and, under confidentiality, prospective acquirers or investors in due diligence.
8.1 If the Client cancels in writing within 14 days of purchase and before starting the questionnaire, Walsh SRA will refund the fee in full.
8.2 Once the questionnaire has been started, the fee is non-refundable. Either party may reschedule the results review with at least 24 hours' notice.
8.3 If Walsh SRA is unable to deliver the results review or Recommended Next Steps, it will refund the fee in full.
9.1 To the extent permitted by law, Walsh SRA's total liability arising out of or in connection with the Assessment is limited to the fee paid by the Client under these Terms.
9.2 Neither party is liable for indirect, incidental, special or consequential losses, including lost profits, regulatory fines or penalties, or loss of data, even if advised of their possibility.
9.3 Nothing in these Terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.
10.1 Acceptance. The Client accepts these Terms by ticking the acceptance box at checkout or by signing an order form that references them.
10.2 Independent contractor. Walsh SRA acts as an independent contractor. Nothing in these Terms creates a partnership, agency or employment relationship.
10.3 Vendor requirements. Where the Client's vendor management process requires additional documentation (W-9, insurance certificate, security questionnaire), Walsh SRA will provide it on request.
10.4 Governing law. These Terms are governed by the laws of the State of Florida, and the courts of Palm Beach County, Florida have exclusive jurisdiction.
10.5 Entire agreement. These Terms are the entire agreement for the Assessment and replace any prior discussion. Changes must be in writing. If any provision is unenforceable, the rest remain in effect.
10.6 Notices. Notices go to [email protected] for Walsh SRA and to the email address given at checkout for the Client.
